Terms of Service

1. Introduction

   Welcome to Valiant Design Studio (“we”,”us”,”our”). By accessing or using our website, services, or products, you agree to comply with and be bound by these Terms of Services (“Terms”). If you do not agree with these Terms, you should not use our services.

2. Services Provided

   Valiant Design Studio offers a range of graphic design services, including but not limited to:
   a) Brand Identity Design
   b) Website Design & Development
   c) Logo Design
   d) Marketing Materials Design
   e) Print Design
   f) Digital Content Creation

3. User Eligibility

   Our services are available only to individuals who are at least 18 years old and businesses that can form legally binding contracts under applicable law. By using our services, you represent and warrant that you meet these requirements.

4. Payment Terms

   All pricing is subject to change at our discretion. Valiant Design Studio reserves the right to change the pricing of services at any time without any notice. Payment terms are as follows:
   a) A non-refundable deposit of 50% is required to commence any project.
   b) The remaining balance is due upon project completion and before the delivery of final files.
   c) Payments are to be made via bank transfer.
   d) Late payments will incur a 5% additional fee per week following the due date.

5. Client Responsibilities

   All clients of Valiant Design Studio are responsible for:
   a) Providing timely feedback and approvals.
   b) Supplying necessary content, such as text, images, and other materials in a timely manner.
   c) Ensuring that all provided content is owned by the client or that the client has permission to use it.

6. Intellectual Property Rights

   a) Ownership: Upon full payment, Valiant Design Studio transfers the rights of the final design deliverables to the client. We retain the right to showcase all aspects of our creative work, including sketches and completed projects, in our portfolio and promotional materials.
   b) Third-Party Materials: We may use third-party materials (e.g., stock images, fonts). The ownership and licensing of these materials remains with the original creators. The client is responsible for adhering to the licensing terms of these materials.

7. Revisions & Scope Changes

   a) Revisions: Each available package we offer includes a set number of revisions. Additional revisions will be billed at our hourly rate of $50.00 (AUD).
   b) Scope Changes: Any changes to the project scope after the initial agreement may incur additional costs and extend the project timeline. These changes must be documented and approved in writing by both parties.

8. Termination & Cancellation

   a) By the Client: The client may terminate the project at any time. However, the deposit is non-refundable, and the client will be billed for any work completed beyond the deposit amount.
   b) By Valiant Design Studio: We reserve the right to terminate the project if the client breaches these Terms or fails to cooperate. In such cases, the client remains responsible for paying for all work completed up to the termination date.
   

9. Confidentiality
   Both parties agree to keep all confidential information shared during the project private and not disclose it to any third parties without prior written consent. Confidential information includes proprietary business information, project details, and any non-public information provided by either party.
   

10. Limitation of Liability
    To the fullest extent permitted by law, Valiant Design Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
    a) Your use of or inability to use our services.
    b) Any unauthorised access to or use of our servers and/or personal information stored therein.
    c) Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party.
    d) Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the services.
    

11. Indemnification
    You agree to indemnify, defend, and hold harmless Valiant Design Studio, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:
    a) Your use of and access to our services.
    b) Your violation of any term of these Terms.
    c) Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
    

12. Governing Law
    These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia. Any disputes arising out of or in connection with these Terms shall be resolved exclusively in the courts of Victoria, Australia.
    

13. Changes to Terms
    We reserve the right to modify or replace these Terms at any time. Any changes will be posted on our website, and it is your responsibility to review these Terms periodically. Your continued use of our services following the posting of any changes constitutes acceptance of those changes.
